Member Agreement
Last updated: November 1, 2026
This Member Agreement applies to paid memberships in KonnexHub, operated by [KonnexHub LLC]. It adds to our Terms of Service. By subscribing, you agree to both.
1. Membership and verification
Membership is personal. You must keep an active PTIN and, if you present yourself as a CPA or Enrolled Agent, an active license or enrollment in good standing. Tell us within 10 days if your credentials lapse, are suspended or are revoked. We may pause your access until we can re-verify you.
2. Plans, billing and cancellation
- Memberships renew automatically each month or year until cancelled. You can cancel anytime from your billing page; access continues until the end of the paid period. We do not refund partial periods unless required by law.
- Founding pricing stays in effect for as long as your subscription remains active without interruption. If you cancel, the founding rate cannot be restored.
- We may change regular prices with at least 30 days' notice. Changes do not affect founding rates.
3. Independence
Members are independent professionals. Nothing in this Agreement or in the Service creates an employment, partnership, joint venture or agency relationship between members, or between any member and KonnexHub.
4. Confidentiality
Treat non-public information shared by other members (pricing, practice details, discussions in private spaces) as confidential, and use it only to participate in the community.
5. Non-solicitation
You may not solicit or accept, directly or indirectly, a client of another member whom you learned about through an overflow job or referral on the Service, for twelve (12) months after the work ends, unless that member agrees in writing. [Scope and duration to be confirmed by counsel.]
6. Overflow work
- The posting firm remains solely responsible for the engagement, the return, signing obligations and the client relationship.
- Before sharing any tax return information, the posting firm must obtain the client's written consent as required by IRC §7216.
- Members who accept work must access client files only through the posting firm's secure portal and must not download, copy or keep client data beyond what the work requires.
- Each member is responsible for the quality of their own work and should carry appropriate professional liability (E&O) insurance.
7. Platform fee
When a posting firm approves completed overflow work, a platform fee of 10% of the agreed job amount applies. The fee is a charge for use of the Service, paid by the posting firm, and is not a share of professional fees. [Structure to be confirmed by counsel under New York CPA rules on fees and commissions.]
8. Disputes between members
Members should first try to resolve disagreements about overflow work directly. If that fails, either member may ask KonnexHub to review the job history. Our review is informal and non-binding, and KonnexHub is not a party to the engagement between members.
9. Data security
Each member is responsible for maintaining their own written information security plan as required for tax preparers under the FTC Safeguards Rule, and for reporting any suspected data incident involving work obtained through the Service to the posting firm and to us without delay.
10. Ending membership
We may suspend or end a membership for breach of this Agreement or the Terms, for loss of credentials, or for conduct that puts other members or their clients at risk. Sections 4, 5, 6 and 9 survive the end of your membership.
